The terms governing your use of MediusWatcher and our services.

These Terms and Conditions (“Terms”) govern the relationship between Seven Signals LLC (“Company,” “we,” “us,” or “our”) and the dental practice or entity (“Client,” “you,” or “your”) accessing our website (mediuswatcher.com) and utilizing our dental practice growth, maintenance, and portal services (the “Services”).

1. Scope of Services

Seven Signals LLC provides a suite of digital solutions including, but not limited to:

  • Website Maintenance — Speed optimization, uptime monitoring, and security patches.
  • The Portal Console — Access to SEO analysis, GEO analysis (AI Readiness), and site peer rankings.
  • Content Management — Content updates and AI-assisted content creation.
  • SaaS Analytics — Data-driven insights into practice performance.

2. Subscription Plans and Billing

Service Tiers

Services are provided via Free Trial, Monthly, or Annual plans as described on our Pricing page.

Billing

Monthly plans are billed in advance. Annual plans offer a discounted rate and are billed upfront for the 12-month period.

No Long-Term Contract

Unless otherwise specified in an Annual Plan, services are provided on a month-to-month basis. Customers can request a long-term contract for higher discounts.

Cancellations

You may cancel your subscription at any time via the Portal. Cancellations will take effect at the end of the current billing cycle; no pro-rated refunds are provided for partial months or years.

3. Client Responsibilities & Data

Access

To perform maintenance, you must provide Seven Signals LLC with necessary administrative access to your website hosting and CMS.

Accuracy of Information

You are responsible for the accuracy of any staff bios, service descriptions, address information, or practice hours provided for updates.

Patient Privacy (HIPAA/Data Protection)

ImportantWhile Seven Signals LLC implements industry-standard security, the Client is ultimately responsible for ensuring that their website’s collection of any patient data complies with local regulations (e.g., HIPAA in the USA). Our services are focused on the “front-end” marketing and maintenance; we do not store protected health information (PHI) unless explicitly agreed upon in a separate BAA (Business Associate Agreement).

4. Intellectual Property

The Platform

Seven Signals LLC retains all rights, titles, and interests in the Portal Console, proprietary SEO/GEO analysis algorithms, and the “MediusWatcher” software.

Client Content

You retain ownership of your practice’s original branding, logos, and pre-existing website content.

License

You grant Seven Signals LLC a limited license to modify and host your website content solely for the purpose of providing the Services.

5. AI and Performance Disclaimer

SEO/GEO Analysis

Our AI-driven insights provide recommendations based on current market trends. Seven Signals LLC does not guarantee specific search engine rankings or a specific increase in patient volume, as these are subject to third-party algorithms (Google, etc.) and market competition.

AI Content

Please noteContent generated via AI is intended as a draft for your review. The Client is responsible for final approval to ensure clinical accuracy and ultimate satisfaction.

6. Limitation of Liability

To the maximum extent permitted by law, Seven Signals LLC shall not be liable for:

  • Loss of revenue or business opportunities resulting from website downtime (though we provide 24/7 monitoring and alerting).
  • Third-party security breaches or hacking attempts on the Client’s hosting environment.

Liability CapTotal liability under these Terms shall not exceed the amount paid by the Client to Seven Signals LLC in the three (3) months preceding the claim.

7. Termination

We reserve the right to suspend or terminate access to the Services if:

  • Non-payment — Fees are not paid within 10 days of the due date.
  • Unlawful use — The Client uses the platform for any unlawful or unethical purposes.
  • Breach of contract — Any contracts are breached (NDA, non-solicitation, MSA, etc.).
  • Unprofessional conduct — Client engages in any harassing or abusive behavior toward employees, contractors, or representatives creating an untenable working relationship.
  • Scope creep — Client demands services and deliverables beyond the agreed-upon scope.
  • Misaligned expectations — If it becomes clear that the Client’s expectations cannot be met within the agreed scope, timeline, or budget due to fundamental misunderstandings or unrealistic goals, Seven Signals LLC may terminate the contract to avoid delivering subpar results or damaging its reputation.
  • Legal or ethical violations — If a Client requests work that violates legal regulations, industry standards, or ethical practices.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, USA, without regard to its conflict of law provisions.
